Establishing the company is the first step when expanding the business into Thailand. The type of company structure that a client wishes to establish depends on their business plan and should be carefully considered in advance. For instance, certain types of businesses may require a Thai partner as a co-investor.
Processes of Establishing company are as follow:
Step 1 Reserving Company Name
The reservation of a company name is valid for only one month. Therefore, once the company names has been reserved, the company must be established within one month.
Step 2: Registration of the Memorandum of Association
The registration of the Memorandum of Association (MOA) can be done simultaneously with the company establishment. When registering the MOA, the following details must be specified:
Step 3: holding the Statutory Meeting and Registering the Company
The statutory meeting is held to approve things like the setup costs, shareholders, the board of directors, and the company’s regulation, among other details.
Step 4: Opening Company’s Bank Account
Step 5: Submitting the proof of share payment to DBD
Step 6: Tax
If the business is subject to Value Added Tax (VAT) or Specific Business Tax, it must register for VAT before starting operations. Additionally, the business must register for Specific Business Tax within 30 days of beginning operations. However, if the business has no income, registration is not required.
